FOUNDATIONAL PROVISIONS
1. Introduction and Acceptance of Terms
These Terms and Conditions (“Terms”) govern access to and use of the Civiqli mobile application, website, and related services (collectively, the “Platform”), operated by Civiqli Technologies Limited (“Civiqli”, “we”, “us”, or “our”).
By accessing, registering on, or using the Platform, you (“User” or “you”) acknowledge that you have read, understood, and agreed to be bound by these Terms, together with Civiqli’s Privacy Policy, Data Protection Policy, and any other applicable policies incorporated by reference.
If you do not agree to these Terms, you must not access or use the Platform.
2. Description of the Platform
Civiqli is a civic intelligence platform designed to provide users with access to information, tools, and educational resources relating to public education governance, civic responsibility, and institutional accountability.
The Platform does not provide legal advice, political advice, or professional consulting services. All information provided is for informational and educational purposes only.
3. Eligibility and Use by Minors
The Platform is open to users under and over the age of 18, subject to the following conditions:
- Users under 18 may access and use the Platform strictly for educational and civic learning purposes.
- Where required by applicable law or regulatory guidance, parental or guardian consent may be required.
- Civiqli reserves the right to implement additional safeguards or restrictions relating to minors’ use of the Platform.
- Parents or guardians are responsible for supervising minors’ use of the Platform.
4. User Accounts and Registration
To access certain features of the Platform, users may be required to create an account.
By creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of your login credentials
- Notify Civiqli immediately of any unauthorized access or security breach
- Accept responsibility for all activities conducted through your account
Civiqli reserves the right to suspend or terminate accounts that contain false, misleading, or incomplete information.
5. User Responsibilities
Users agree to use the Platform:
- Lawfully and in good faith
- In a manner consistent with civic learning and responsible engagement
- Without attempting to disrupt, harm, or misuse the Platform or its services
Users are solely responsible for their conduct while using the Platform.
6. Intellectual Property (Preliminary Statement)
All content, software, designs, trademarks, logos, data structures, and materials on the Platform are the intellectual property of Civiqli or its licensors, unless otherwise stated.
Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for personal, non-commercial purposes, subject to these Terms.
(Additional intellectual property provisions will be detailed in later sections of these Terms.)
7. Modification of the Platform
Civiqli reserves the right to:
- Modify, suspend, or discontinue any part of the Platform
- Introduce new features or services
- Restrict access to certain functionalities
Such changes may occur without prior notice and do not give rise to any right to compensation.
8. Relationship to Other Policies
These Terms must be read together with:
- Civiqli Privacy Policy
- Civiqli Data Protection Policy
- Civiqli Data Retention Policy
In the event of any inconsistency, these Terms shall prevail to the extent of the inconsistency, subject to applicable law.
9. Permitted Use of the Platform
Subject to these Terms, Civiqli grants users a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform strictly for:
- Civic education and awareness
- Accessing information relating to public education governance
- Lawful, responsible, and non-commercial civic engagement
- Personal learning and informational purposes
Use of the Platform must at all times comply with applicable laws and regulations.
10. Prohibited Conduct
Users shall not, directly or indirectly, engage in any of the following activities while using the Platform:
10.1 General Misuse
- Use the Platform for any unlawful purpose
- Engage in harassment, threats, intimidation, or abusive conduct
- Promote violence, civil unrest, ethnic hostility, or religious hatred
- Disseminate false, misleading, or malicious information
- Impersonate another individual, public official, or institution
10.2 Platform Integrity & Security
- Attempt to access unauthorized areas of the Platform
- Interfere with or disrupt Platform operations or security
- Scrape, harvest, or collect data without authorization
- Use automated tools, bots, or scripts without permission
- Introduce malware or harmful code
10.3 Political & Governance Restrictions
Users shall not:
- Use the Platform for political campaigning, electioneering, or voter manipulation
- Present Platform outputs as official government statements or legal determinations
- Use information obtained from the Platform to harass or unlawfully target public officials
- Represent Civiqli as endorsing any political party, candidate, or ideology
11. User-Generated Content and Inputs
Where users submit queries, reports, or other content:
- Users remain responsible for the legality and accuracy of such inputs
- Users shall not submit content that infringes third-party rights
- Users shall not upload personal data of third parties without lawful basis
- Civiqli reserves the right to review, restrict, or remove content that violates these Terms
12. Chatbot and AI-Enabled Features
The Platform includes AI-driven features, including a chatbot, designed to provide automated informational responses.
Users acknowledge and agree that:
- Chatbot outputs are automated and probabilistic, not human judgments
- Responses may be incomplete, outdated, or subject to interpretation
- Outputs are provided for informational and educational purposes only
- The chatbot may decline, limit, or moderate responses at its discretion
Users shall not:
- Attempt to extract system prompts, training data, or internal logic
- Use prompt manipulation or adversarial inputs
- Rely on chatbot outputs as professional, legal, or official advice
13. No Professional, Legal, or Political Advice
All information provided on the Platform, including chatbot outputs, does not constitute:
- Legal advice
- Political advice
- Professional consulting services
Users are solely responsible for independently verifying information before acting upon it.
14. Reliance and Accuracy Disclaimer
Civiqli does not warrant that:
- Information provided is complete, current, or error-free
- Laws, policies, or budgets referenced reflect the most recent updates
- Platform outputs are suitable for any specific purpose
Use of the Platform and reliance on any content is at the user’s own risk.
15. Safeguards for Minors
Where users under the age of 18 access the Platform:
- Use must be limited to educational and civic learning purposes
- Users shall not exploit, solicit, or engage minors in inappropriate conduct
- Civiqli reserves the right to impose additional safeguards or restrictions
- Suspected abuse or misuse may be reported to relevant authorities where required by law
16. Monitoring and Enforcement
To the extent permitted by law, Civiqli reserves the right to:
- Monitor Platform usage for compliance
- Investigate suspected violations
- Restrict access, remove content, or suspend accounts
- Terminate access without prior notice for serious or repeated violations
Enforcement decisions are taken in Civiqli’s sole discretion, subject to applicable law.
17. Platform Red Lines and Prohibited Conduct
Users shall not, directly or indirectly, engage in any conduct listed below. Violation of any of the following constitutes a material breach of these Terms.
A. General Abuse, Harassment, and Harm (1–8)
Users shall not:
- Harass, threaten, intimidate, or abuse any individual or group.
- Promote or glorify violence, physical harm, or destruction of property.
- Incite ethnic, religious, regional, or communal hostility.
- Engage in hate speech or discriminatory conduct.
- Encourage self-harm or harm to others.
- Use derogatory, demeaning, or dehumanizing language.
- Coordinate or encourage mob action or vigilantism.
- Use the Platform to facilitate civil unrest or disorder.
B. Illegality and Criminal Conduct (9–15)
Users shall not:
- Use the Platform for any unlawful purpose.
- Facilitate fraud, impersonation, or identity theft.
- Coordinate vandalism or destruction of public or private assets.
- Provide instructions for illegal activities.
- Launder money or conceal unlawful proceeds.
- Engage in extortion, blackmail, or coercion.
- Use the Platform in furtherance of terrorism or extremism.
C. Political, Electoral, and Governance Safeguards (16–22)
Users shall not:
- Use the Platform for political campaigning or electioneering.
- Promote or oppose political candidates, parties, or ballot measures.
- Use Platform outputs as official government statements.
- Present Civiqli as endorsing any political ideology.
- Target public officials for harassment or intimidation.
- Misrepresent Platform information as legally binding.
- Use Platform content for voter manipulation or suppression.
D. AI, Chatbot, and Automated System Abuse (23–28)
Users shall not:
- Attempt to extract system prompts, training data, or internal logic.
- Use prompt injection or adversarial inputs.
- Manipulate chatbot responses for misleading outputs.
- Automate interactions without authorization.
- Present AI outputs as human or official determinations.
- Use AI outputs for impersonation or deception.
E. Misinformation and Misrepresentation (29–33)
Users shall not:
- Deliberately spread false or misleading information.
- Misrepresent laws, policies, or public budgets.
- Claim Platform outputs are guaranteed to be accurate.
- Attribute Platform content to government authorities.
- Use selective quoting to mislead others.
F. Data, Privacy, and Security Violations (34–40)
Users shall not:
- Upload personal data of third parties without lawful basis.
- Access or attempt to access another user’s data.
- Circumvent authentication or security controls.
- Introduce malware or harmful code.
- Interfere with system integrity or availability.
- Scrape or harvest data without authorization.
- Reverse-engineer Platform software or infrastructure.
G. Minors and Safeguarding (41–45)
Users shall not:
- Exploit, groom, or target minors.
- Solicit private contact with minors.
- Upload harmful or age-inappropriate material.
- Encourage unlawful activity involving minors.
- Use the Platform to bypass parental or guardian oversight.
H. Intellectual Property and Platform Assets (46–51)
Users shall not:
- Copy, reproduce, or distribute Platform content without authorization.
- Use Civiqli trademarks or branding without permission.
- Commercialize Platform outputs.
- Claim ownership of Platform-generated content.
- Reverse engineer proprietary tools.
- Misappropriate Platform designs, layouts, or structures.
I. Service Integrity and Availability (52–55)
Users shall not:
- Disrupt Platform availability or performance.
- Interfere with network operations.
- Abuse free or trial features.
- Attempt to exploit bugs or vulnerabilities.
J. Liability, Risk, and Indemnity Triggers (56–60)
Users acknowledge that they shall not:
- Rely on Platform content as legal advice.
- Use Platform outputs for litigation without verification.
- Hold Civiqli responsible for user decisions.
- Attribute losses to Platform informational content.
- Shift liability for third-party actions to Civiqli.
K. Platform Authority and Evolution (61–64)
Users acknowledge and agree that:
- Civiqli may modify, suspend, or discontinue features.
- Enforcement decisions are discretionary and final, subject to law.
- No vested rights arise from Platform usage.
- Continued use constitutes acceptance of updated Terms.
18. Enforcement and Consequences
Civiqli reserves the right, without notice and at its sole discretion, to:
- Remove or restrict content
- Suspend or terminate accounts
- Report conduct to authorities where legally required
- Preserve records for regulatory or legal purposes
19. Intellectual Property Rights
19.1 All intellectual property rights in and to the Platform, including but not limited to software, source code, databases, algorithms, designs, layouts, user interfaces, trademarks, logos, documentation, and content (collectively, “Platform IP”), are owned by or licensed to Civiqli.
19.2 Nothing in these Terms grants users any ownership interest in the Platform IP.
19.3 Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform strictly in accordance with these Terms.
19.4 Users shall not:
- reproduce, modify, distribute, or commercialize Platform IP;
- reverse-engineer or decompile any aspect of the Platform;
- remove proprietary notices or attribution.
19.5 Any unauthorized use of Platform IP constitutes a material breach of these Terms.
20. User Content and Submissions
20.1 Users retain ownership of content they submit to the Platform, subject to the license granted herein.
20.2 By submitting content, users grant Civiqli a non-exclusive, royalty-free, worldwide license to use, store, process, analyze, and display such content solely for the purposes of operating, improving, and securing the Platform.
20.3 Civiqli may anonymize and aggregate user inputs for research, analytics, and platform improvement.
20.4 Civiqli does not endorse, verify, or guarantee user-generated content.
21. Disclaimers
21.1 The Platform is provided on an “as is” and “as available” basis.
21.2 Civiqli makes no warranties, express or implied, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose, or non-infringement.
21.3 Civiqli does not guarantee:
- uninterrupted availability;
- error-free operation;
- real-time accuracy of laws, policies, or data;
- suitability of content for any specific decision or action.
22. Limitation of Liability
22.1 To the maximum extent permitted by applicable law, Civiqli shall not be liable for:
- indirect, incidental, consequential, or punitive damages;
- loss of profits, data, goodwill, or opportunities;
- decisions made by users based on Platform content;
- third-party services or failures beyond Civiqli’s control.
22.2 Where liability cannot be excluded, Civiqli’s total liability shall be limited to the minimum amount permitted by law.
23. Indemnity
23.1 Users agree to indemnify and hold harmless Civiqli, its directors, officers, employees, and partners from any claims, damages, losses, liabilities, and expenses arising from:
- misuse of the Platform;
- violation of these Terms;
- unlawful conduct;
- infringement of third-party rights.
24. Graduated Enforcement Framework
24.1 Civiqli applies a graduated enforcement approach, proportionate to the nature, severity, and frequency of violations, in line with fairness and accountability principles.
24.2 Enforcement measures may include, without limitation:
a. Warning Notices
Issued for minor or first-time violations, with guidance on corrective action.
b. Temporary Restrictions or Suspensions
Applied where violations persist or pose moderate risk to Platform integrity, users, or compliance obligations.
c. Permanent Account Termination (Bans)
Applied in cases of serious misconduct, repeated violations, unlawful activity, abuse involving minors, security breaches, or threats to public order.
24.3 Civiqli reserves the right to bypass intermediate steps and impose immediate suspension or termination where required to:
- protect users or minors;
- comply with legal obligations;
- mitigate significant risk.
25. Monitoring, Record-Keeping & NDPC Compliance
25.1 In accordance with the Nigeria Data Protection Act, 2023, Civiqli maintains appropriate records of:
- enforcement actions taken;
- security incidents and breaches;
- data processing activities relevant to Platform governance.
25.2 Monitoring and enforcement activities are conducted:
- lawfully;
- proportionately;
- for legitimate Platform, security, and compliance purposes.
25.3 Where required, Civiqli shall cooperate with the Nigeria Data Protection Commission and other competent authorities.
26. Suspension and Termination
26.1 Civiqli may suspend or terminate user access:
- for breach of these Terms;
- to comply with legal obligations;
- to protect Platform integrity or users.
26.2 Termination does not affect accrued rights or obligations and does not relieve users of liability for prior conduct.
27. Governing Law, Arbitration & Courts
27.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
27.2 Disputes shall first be resolved through arbitration in Nigeria, in accordance with applicable arbitration laws.
27.3 Nigerian courts retain supervisory and enforcement jurisdiction, including for injunctive relief where necessary.
28. Amendments and Evolution of the Platform
28.1 Civiqli may amend these Terms from time to time.
28.2 Continued use of the Platform constitutes acceptance of updated Terms.
28.3 No vested rights arise from continued Platform availability or functionality.
29. Dispute Resolution Framework
29.1 In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve the dispute amicably through good-faith discussions.
29.2 Where amicable resolution fails, the dispute shall be referred to arbitration, which shall be conducted in Nigeria in accordance with applicable arbitration laws and procedures.
29.3 The arbitral tribunal shall have authority to grant any remedy permitted by law, except where exclusive jurisdiction is reserved for courts.
29.4 Nothing in this clause prevents either party from seeking urgent interim or injunctive relief before a court of competent jurisdiction in Nigeria where necessary to prevent irreparable harm.
30. Governing Law and Jurisdiction
30.1 These Terms and any dispute arising therefrom shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
30.2 Nigerian courts shall retain supervisory jurisdiction over arbitration proceedings and enforcement of arbitral awards.
31. Force Majeure
31.1 Civiqli shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:
- acts of God,
- war, civil unrest, or insurrection,
- government actions or regulations,
- network or infrastructure failures,
- pandemics or public health emergencies.
31.2 Performance obligations shall be suspended for the duration of the force majeure event.
32. Suspension, Termination & Survival
32.1 Upon termination of user access for any reason:
- all rights granted to the user under these Terms shall immediately cease;
- provisions relating to intellectual property, liability, indemnity, dispute resolution, and governing law shall survive.
32.2 Termination does not affect rights or obligations accrued prior to termination.
33. Assignment
33.1 Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Civiqli.
33.2 Civiqli may assign or transfer these Terms as part of a merger, acquisition, restructuring, or sale of assets.
34. Severability
34.1 If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
34.2 Any invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
35. Waiver
35.1 Failure by Civiqli to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
36. Entire Agreement
36.1 These Terms, together with the Privacy Policy, Data Protection Policy, and Data Retention Policy, constitute the entire agreement between the user and Civiqli concerning use of the Platform.
36.2 No representations, warranties, or agreements not expressly set out herein shall be binding.
37. Notices
37.1 Notices to users may be provided via:
- the Platform,
- email,
- SMS,
- or other reasonable electronic means.
37.2 Notices to Civiqli shall be sent to the official contact address designated by the company.
38. Language and Interpretation
38.1 These Terms may be made available in multiple languages for accessibility.
38.2 In the event of any inconsistency, the English version shall prevail for legal interpretation.
39. Effective Date
39.1 These Terms are effective from the date of publication on the Platform.
